Advizia Inc. ("Advizia", "we", "our", or "us") provides real-time intelligence and automation tools for physical spaces through AI and sensor technology. Our flagship product, The Pulse, helps bar and venue operators optimize their environment to drive revenue and improve guest experience.

These Terms govern your use of the Service, including the website, our mobile or web applications, and any data, insights, dashboards, or analytics we provide.

  1. Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our Service. By using the Service, you represent and warrant that you meet these requirements.

  1. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You are responsible for any activity conducted under your account or on your premises.

You agree not to:

Use the Service to reverse engineer, copy, or clone hardware or software components.

Interfere with or disrupt the integrity or performance of our systems.

Use the Service to collect or store personal data without authorization.

Attempt to gain unauthorized access to our servers or networks.

  1. Hardware Devices ("The Pulse")

When you deploy Advizia’s hardware devices (e.g., The Pulse), you agree to:

Install and use them only in accordance with our installation guidelines.

Not open, tamper with, or attempt to modify the devices.

Ensure the environment is suitable for accurate data capture.

Return any hardware within 10 days of the end of a trial or contract termination if requested by Advizia.

  1. Data and Insights

Advizia collects real-time environmental data (including temperature, foot traffic, sound, light, and music metadata) through its devices. This data is processed and visualized through our analytics platform.

Ownership: All anonymized environmental data collected via our devices is the property of Advizia.

License: We grant you a non-exclusive, revocable license to view and use the insights and analytics derived from your venue’s data during the term of your agreement.

Confidentiality: We do not collect personally identifiable information unless explicitly agreed upon in writing.

  1. Subscription & Billing

Certain features of the Service may require a paid subscription. Subscription fees, billing cycles, and payment terms will be disclosed during the sign-up or onboarding process.

You authorize us to charge your payment method on a recurring basis until you cancel.

All fees are non-refundable unless otherwise stated in writing.

We reserve the right to suspend or terminate access for non-payment.

  1. Intellectual Property

All content on the Service—including software, visuals, branding, trademarks, and analytics models—is the exclusive property of Advizia Inc. or its licensors.

You may not copy, reproduce, modify, distribute, or create derivative works without our express written permission.

  1. Termination

We reserve the right to suspend or terminate your access to the Service at any time for any reason, including violation of these Terms or non-payment.

Upon termination, your license to use the Service and access insights will immediately end. You may be required to return or uninstall all Advizia hardware.

  1. Disclaimer of Warranties

The Service is provided "as is" and "as available." We do not guarantee the accuracy, completeness, or reliability of any data or insight provided.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

  1. Limitation of Liability

In no event shall Advizia, its affiliates, officers, or employees be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of the Service.

Our total liability for any claim shall not exceed the amount you paid us in the preceding 12 months.

  1. Indemnification

You agree to indemnify and hold harmless Advizia and its affiliates from any claims, damages, liabilities, or expenses arising from:

Your use or misuse of the Service;

Your violation of these Terms;

Any hardware misuse or unauthorized modification.

  1. Modifications

We reserve the right to modify these Terms at any time. If we do, we’ll notify users via the website or email. Continued use of the Service after changes constitutes acceptance of the revised Terms.

  1. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any legal dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.
